Welcome to KARBYNX (“Platform”, “Company”, “we”, “our”, “us”), owned and operated by Yonova Technologies LLP.

KARBYNX is a technology-driven platform that enables:

  • Facilitation of carbon credit transactions between verified project developers and corporate buyers
  • Monitoring, Reporting, and Verification (MRV) services using AI, satellite, and IoT technologies
  • ESG, carbon accounting, and sustainability reporting solutions

By accessing or using the Platform, you agree to be bound by these Terms & Conditions (“Terms”).

Eligibility

You must:

  • Be at least 18 years of age
  • Be legally capable of entering into binding contracts
  • Complete KYC/AML verification as required

KARBYNX reserves the right to approve or reject any user registration.

Nature of Platform

KARBYNX operates as a technology-enabled facilitation platform.

KARBYNX:

  • Enables connections between carbon credit buyers and project developers
  • Provides MRV, data analytics, and ESG support services

KARBYNX is NOT:

  • A stock exchange
  • A trading exchange
  • A regulated carbon exchange

KARBYNX does not:

  • Operate any order matching engine
  • Provide price discovery mechanisms
  • Conduct regulated trading activities

All transactions facilitated through the platform are:

  • Bilateral agreements between buyers and sellers
  • Supported through digital workflows and documentation

User Accounts & KYC

Users must:

  • Provide accurate and complete information
  • Complete identity verification (KYC)
  • Maintain confidentiality of login credentials

KARBYNX may suspend or terminate accounts for:

  • False information
  • Regulatory non-compliance
  • Suspicious or fraudulent activity

Carbon Credit Listings

Project Developers are solely responsible for:

  • Accuracy and authenticity of project data
  • Valid issuance of carbon credits
  • Compliance with applicable standards and registries

KARBYNX provides MRV and validation support but does not guarantee:

  • Future acceptance
  • Liquidity or resale of credits

Transaction Facilitation

KARBYNX facilitates carbon credit transactions between verified participants.

  • Transactions are executed as direct agreements between buyers and sellers
  • KARBYNX is not a counterparty to such transactions

The platform does not provide:

  • Trading interfaces
  • Automated matching systems
  • Exchange-like functionalities

Payment Terms

Payments are processed through authorized third-party payment providers.

By making a payment, you agree:

  • To provide accurate payment details
  • To applicable platform service or facilitation fees
  • That KARBYNX is not responsible for payment gateway failures or delays

Refund & Cancellation

All transactions are final and non-refundable once completed

Refunds may be issued only in cases of:

  • Failed or duplicate payments
  • Technical errors

Pricing & Fees

KARBYNX generates revenue through:

  • Platform facilitation fees on transactions
  • Subscription services for enterprise features
  • MRV, validation, and onboarding services
  • API and integration licensing
  • Institutional service agreements

All applicable fees will be communicated transparently prior to engagement.

MRV Services

KARBYNX provides Monitoring, Reporting, and Verification (MRV) services using:

  • AI and advanced analytics
  • Satellite-based monitoring
  • IoT-enabled data inputs

These services are:

  • Data-driven and indicative
  • Provided as technology support tools
  • Not a substitute for regulatory certification unless explicitly stated

Risk Disclosure

Users acknowledge that:

  • Carbon credits are not financial investment instruments
  • KARBYNX does not operate as an exchange or trading platform
  • KARBYNX does not guarantee liquidity or resale of carbon credits
  • Prices may vary based on market conditions
  • Regulatory frameworks may evolve

Prohibited Activities

Users shall not:

  • Engage in illegal or unauthorized activities
  • Provide false or misleading information
  • Attempt unauthorized access to the platform
  • Conduct fraudulent or manipulative transactions

Intellectual Property

All platform content, technology, branding, and data are owned by KARBYNX or its licensors.

Unauthorized use, reproduction, or distribution is strictly prohibited.

Limitation of Liability

To the maximum extent permitted by law, KARBYNX shall not be liable for:

  • Market fluctuations or pricing changes
  • Loss of profits or indirect damages
  • Delays caused by registries, third parties, or external systems

Indemnity

Users agree to indemnify and hold harmless KARBYNX against any claims arising from:

  • Misuse of the platform
  • Violation of applicable laws or these Terms

Third-Party Services

The platform integrates with third-party providers including:

  • Payment gateways
  • Carbon registries
  • Data and analytics providers

KARBYNX is not responsible for third-party actions, delays, or failures.

Termination

KARBYNX may suspend or terminate user access:

  • For violation of these Terms
  • For compliance or regulatory reasons
  • At its discretion

Governing Law & Jurisdiction

These Terms shall be governed by the laws of India.

Jurisdiction: Courts located in Ahmedabad, Gujarat, India

Changes to Terms

KARBYNX reserves the right to update these Terms at any time. Continued use of the Platform constitutes acceptance of revised Terms.
